Company, Commercial, Regulation and Compliance

Corporate work lies at the very heart of our practice and is guided by our core values of diligence, practicality, responsiveness and cost effectiveness and tailored to the needs of each individual client.  We have extensive experience in advising in connection with the formation, management and regulation of businesses which operate locally, internationally or both.  Our practice includes the sale and purchase of businesses, joint ventures, distribution, franchising, intellectual property, corporate governance and best practices, directors’ duties, compliance, employment relations and immigration.

There are many options available in structuring a business organization and we specialize in advising our clients as to which one best serves their needs.  Often in tandem with our sister corporate management company, PA Corporate Services Limited, we attend to the establishment of companies, partnerships, trusts and sole traders.  We tailor the constitution of each business organization to the requirements of the business being carried out.  We advise as to obtaining any necessary licences required by the applicable Cayman Islands regulatory authority and, in general, as to the regulatory environment within which the business will be operating.

We know that our clients need to be ahead of the curve when it comes to regulation and compliance in order to allow the focus to remain on pursuing business objectives and so our challenge is provide advice which seeks to anticipate the issues that will affect our clients before they become a distraction.  Where a regulatory or compliance issue arises, we have the expertise to equip our clients to meet the challenge, whether it be specific, such as an investigation by a regulatory body or a generic issue, such as anti-money laundering, health and safety, risk management or policy advice.

We provide advice and support to business owners, management and senior executives for all staff related issues including drafting and negotiating service agreements for directors and other officers and employment contracts for employees as well establishing benefit and incentive schemes.  We have a team of litigators experienced in dealing with increasingly complex employment related disputes including managing dismissals, meeting claims before the Labour Tribunal and the Grand Court, whistleblowing, discrimination, enforcement of restrictive covenants and team moves.
